These Terms & Conditions (“Terms”) govern your access to and use of the NASGuard backup service (the “Service”), operated by NASGuard (“we”, “us”, or “our”). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Seller and contracting party
You are entering into a contract with NASGuard. All subscriptions, payments, and service deliveries are provided by NASGuard unless otherwise stated.
2. Description of the Service
NASGuard provides managed backup storage for Synology and QNAP network-attached storage (NAS) devices. We allocate cloud storage capacity based on the plan you select, monitor backup health, and provide support for configuration and recovery. You retain full ownership of your data.
3. Eligibility and account responsibility
You must be at least 18 years old and have authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated.
4. Acceptable use
You may use the Service only for lawful purposes. You agree not to:
- Use the Service for any unlawful, fraudulent, or malicious activity.
- Upload, store, or transmit infringing, defamatory, obscene, or harmful content.
- Interfere with or disrupt the Service, servers, or networks connected to it.
- Attempt to reverse engineer, scrape, or probe the Service.
- Resell, sublicense, or redistribute the Service without our written consent.
5. Subscription, payment, and renewal
Subscriptions are billed in advance according to the billing cycle you select (monthly or yearly). Prices are shown in USD and do not include any taxes that may be applied by our payment provider. Subscriptions automatically renew for the same period unless cancelled before the renewal date.
Payments are processed by our online reseller, Paddle.com. Paddle is the Merchant of Record for all our orders and handles payment processing, billing, tax, invoicing, refunds, and related customer service inquiries. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
6. Intellectual property
NASGuard retains all rights, title, and interest in and to the Service, including all software, documentation, branding, and other intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your active subscription, subject to these Terms.
7. Your data
You retain ownership of any data you back up using the Service. You grant us a limited license to host, store, and process your data solely for the purpose of providing the Service. We will not access your data except as necessary for support, maintenance, or as required by law.
8. Service level and warranties
We use commercially reasonable efforts to maintain the availability and integrity of the Service. However, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure. The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, NASGuard’s aggregate liability shall not exceed the total fees paid by you to NASGuard in the six (6) months preceding the claim. We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or goodwill, even if advised of the possibility. This does not limit liability for fraud, death, or personal injury where required by law.
10. Indemnity
You agree to indemnify and hold harmless NASGuard and its agents from any claims, damages, or expenses arising out of your use of the Service, your data, your violation of these Terms, or your infringement of any third-party rights.
11. Suspension and termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have materially breached these Terms, engaged in fraud or unlawful activity, created a security risk, or repeatedly violated our policies. Upon termination, your right to use the Service ceases immediately and we may delete your backed-up data in accordance with our data retention practices.
12. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which NASGuard operates, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the competent courts of that jurisdiction, unless otherwise agreed by the parties.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
